Company Dissolution in France: Key Steps and Legal Requirements

← Back to blog

Closing down a business in France is a serious corporate transition that demands rigorous legal execution. Founders frequently conflate "dissolution" with "liquidation." Here is an overview of how winding up a French company proceeds in practice.

Step 1: The Formal Decision to Dissolve

The process starts by convening shareholders in an Extraordinary General Meeting (AGE). Shareholders vote on early dissolution and designate a liquidator (frequently the managing director). This decision is documented in formal Meeting Minutes (PV d'AGE).

Step 2: Dissolution Legal Formalities

Following execution of the minutes, statutory steps must be performed:

  • Publication of a dissolution announcement in an official legal gazette (JAL).
  • Registration with the commercial registry via the national Guichet Unique portal.

The entity is then legally deemed "in liquidation" and maintains legal personality solely for liquidation operations.

Step 3: Liquidation Operations

During this phase, the liquidator carries out:

  • Asset liquidation: selling remaining stock, equipment, and receivables.
  • Liabilities settlement: paying all verified creditors, tax authorities, and payroll contributions.

Note that amicable voluntary liquidation is legally restricted to companies capable of paying 100% of their debts.

Step 4: Approval of Liquidation Accounts

Upon establishing final accounts, shareholders assemble in an Ordinary General Meeting to approve the final balance sheet, grant discharge (quitus) to the liquidator, and declare the formal closure of liquidation.

Step 5: Official Deregistration (Radiation)

A second notice of liquidation closure is published, followed by submission to the Greffe of the Commercial Court. The company is officially deregistered and issues a certificate of removal (Kbis de radiation).
