Creating a Holding Company in France: Why and How to Structure Your Group

← Back to blog

As soon as an enterprise reaches scale or its executive considers acquiring another business, the word "Holding" surfaces. Often viewed as an arcane scheme reserved for multinational conglomerates, holding structures are in fact a formidable asset for small and mid-sized enterprises.

What is a Holding Company?

A holding company is an entity whose primary purpose is owning equity stakes (shares or stock) in other operational companies, called subsidiaries. It sits atop one or multiple ventures to form a structured group.

1. The French Parent-Subsidiary Tax Regime (Régime Mère-Fille)

When an operating business distributes profits to you individually as dividends, personal taxation bites deeply (30% Flat Tax). If the holding company receives those dividends, French law provides a 95% corporate income tax exemption. The holding can reinvest that money almost tax-free into acquiring real estate or launching new companies.

2. Tax Consolidation (Intégration Fiscale)

When a holding owns at least 95% of subsidiary equity, you can opt for tax consolidation. This allows group losses in one subsidiary to offset profits in another, generating major tax savings.

3. Financial Leverage for Acquisitions (LBO)

Rather than taking on personal debt to purchase a company, the holding company borrows the acquisition loan. Upstreamed dividends from the acquired firm service the holding company’s debt. Moreover, holding commercial real estate through a distinct SCI insulates valuable assets from operational business liabilities.
